Stryker Enters Soft-Tissue Robotics Through Strategic Alliance With CMR Surgical

Stryker (Portage, MI, USA) and CMR Surgical (Cambridge, UK) have announced a strategic alliance centered on the Versius Surgical Robotic portfolio. More...

The agreement includes an approximately USD 400 million (GBP 300 million) preferred equity investment and gives Stryker an exclusive option to acquire all of CMR Surgical’s outstanding equity in the future, subject to the agreement’s terms. Stryker will serve as the portfolio’s exclusive U.S. sales agent, while CMR Surgical will continue to lead product development and commercialization outside the United States.

The alliance builds on Versius’s modular architecture, which is designed to provide flexibility across procedures and sites of care while supporting surgeon access. CMR Surgical’s second-generation robot supports a broad range of soft-tissue procedures and has accumulated clinical experience globally. Its design is intended to help healthcare providers expand robotic-assisted surgery within existing operating room workflows.

The companies view this flexibility as relevant to growing demand for robotic-assisted surgery and the need to expand programs across healthcare settings. They state that the Versius approach could help health systems increase capacity while maintaining operational flexibility and supporting the long-term economics of their surgical programs. Completion of the transaction remains subject to regulatory approvals and customary closing conditions.

“Soft-tissue robotics is a high-growth adjacency and a natural extension of Stryker’s strengths in endoscopy, visualization and enabling technologies. We have evaluated the segment carefully for years, and this alliance represents a thoughtful and disciplined entry that combines the complementary strengths of both companies. We selected CMR Surgical and the Versius portfolio because of the opportunity to help healthcare providers grow robotic-assisted surgery adoption across a broad range of procedures in hospitals and ASCs,” said Andy Pierce, Group President, Medsurg and Neurotechnology, Stryker.

“This strategic alliance is a significant milestone for CMR and a strong endorsement of the technology, clinical experience and global business we have built. Stryker’s investment will give us additional strength to accelerate innovation and the continued global expansion of the Versius portfolio, while its scale and deep customer relationships create a significant growth opportunity in the United States. We also look forward to welcoming Andy Pierce to our board of directors and benefiting from his more than 30 years of MedTech leadership experience at Stryker as we continue expanding access to robotic-assisted surgery globally,” said Massimiliano Colella, Chief Executive Officer of CMR Surgical.
